Welcome to "basecamp" (the "Platform"), developed and operated by Montivory Co., Ltd. ("we," "us," "the Company," or "basecamp"), to provide online learning and course enrollment services through www.joinbasecamp.co and other related online channels (collectively, the "Service" or "Platform") for learners who wish to enroll in courses ("User," "Learner," or "you"). Please read these Terms and Conditions of Service (these "Terms") carefully and thoroughly before accessing or using the Service. These Terms incorporate by reference our Privacy Policy, which is deemed to form an integral part of these Terms and Conditions.

By accessing, registering, logging into, or using any service on the basecamp Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions in their entirety. If you do not agree to any provision of these Terms, you must immediately cease using the Service and exit the Platform. The Company reserves the right to modify, amend, or update these Terms at any time at its sole discretion. Users will be notified of such changes through the Platform or other appropriate communication channels. Continued use of the Service following any modification constitutes acceptance of the revised Terms.

User Registration and Account Creation

  1. Users may register and create an account by providing personal information as required in the registration form, which may include first name, last name, email address, and mobile phone number (if requested), via the website www.joinbasecamp.co, and by setting their own password.
  2. Users may also register or log in using third-party authentication services (Single Sign-On), such as LINE, Google, or Facebook, as enabled by the Company. By doing so, the User agrees that the Company may receive and use the information necessary for account creation and identity verification in accordance with the Company's Privacy Policy and the applicable terms of such third-party providers.
  3. Users are responsible for keeping their email, username, and password confidential and for not allowing or transferring access to their account to any other person under any circumstances. Any access or transaction carried out through the User's account shall be deemed to be undertaken by the User and shall be legally binding on the User. The Company shall not be liable for any loss or damage arising from unauthorized access to the User's account resulting from inadequate safeguarding of such information.
  4. Users are responsible for ensuring that their account information is accurate and up to date. If the User becomes aware of, or suspects, any unauthorized use of their account, the User should immediately change their password and notify the Company through the communication channels designated by the Company so that appropriate actions can be taken.
  5. Users must access their account through a web browser on their own device and are responsible for all costs related to devices, internet, and telecommunication services. The Company shall not be liable for connection issues or quality of such services. Any electronic transactions conducted through the Platform shall be deemed fully binding in accordance with the Electronic Transactions Act and applicable laws.

User Eligibility and Age Restrictions

Users must be at least 18 (eighteen) years of age to register and use the Service on the basecamp Platform.

If a User is between 18-19 (eighteen to nineteen) years of age and has not yet reached the age of legal majority under Thai law, the User should obtain consent from a parent, legal guardian, or authorized custodian before registration and any transactions on the Platform. By registering or using the Service, Users between 18-19 years of age represent that their parent, legal guardian, or authorized custodian has been informed of and consents to such User's registration and use of the Service.

The Company does not permit Users under 18 (eighteen) years of age to register or use the Service. If the Company finds that a User has provided false information regarding their age, the Company reserves the right to suspend or terminate the User's account immediately without refund or compensation.

Terms of Service

Nature of Service

Use of the Service is subject to these Terms and all conditions and procedures specified by the Company on the website. Users may access and use the Service only after registering and accepting these Terms and Conditions.

The Company's Service consists of self-paced online courses, which may include recorded videos, learning materials, exercises, and quizzes. Users may access content according to the type of course enrolled, whether through monthly subscription or pay-per-course models, as specified for each course.

Users may download certain content as permitted by the Company for personal learning purposes only. Users may not reproduce, distribute, publish, sell, transfer, or use such content for any commercial or business purposes without prior written authorization from the Company. Users may not share their account, username, password, or allow any other person to use their account under any circumstances.

Payment and Service Fees

Users may pay for the Service via credit card/debit card, PromptPay, QR Code, or other channels designated by the Company. Service fees are displayed in Thai Baht (THB) and include 7% Value Added Tax (VAT).

For monthly subscription members, Users consent to allow the Company or its payment service provider to automatically charge service fees in each renewal cycle until the User cancels automatic renewal. If automatic billing is unsuccessful, the Company may suspend access to the Service until payment is successfully made.

Users are responsible for providing accurate payment information. The Company shall not be liable for any damage arising from provision of incorrect information or erroneous transactions made by the User.

Refund Policy

The Company may, at its sole discretion, refund service fees in cases where the User submits a written request to cancel before the first login or before accessing any content whatsoever on the Platform, subject to the refund conditions specified on the website www.joinbasecamp.co.

The Company reserves the right not to refund service fees in the following cases:

  • The User has accessed content, logged in, or used the Service
  • Cancellation is due to User error, breach of these Terms, or User misconduct
  • The User's account has been suspended or terminated due to violation of these Terms and Conditions

Certificate of Completion

Users may request a Certificate of Completion according to the criteria and conditions specified for each course. The Company reserves the right to determine and modify the conditions for issuing certificates and assessments without prior notice to Users.

Limitation of Liability

The Company does not guarantee any outcomes or results and shall not be liable for any loss and/or damage arising from the use of the Service. Any advice obtained from the Company, instructors, or through the Service shall not constitute any warranty or guarantee from the Company.

The Company shall not be liable for use of the Service in cases of force majeure or any circumstances beyond its control, such as damage to the User's computer system, loss of data, or inability to access the Service due to actions by third parties.

Service Development and Changes

The Company reserves the right to add, reduce, modify, or discontinue any part of the Service as appropriate, and will notify Users in advance in cases where such changes significantly affect the use of the Service.

Account Suspension or Termination

The Company reserves the right to suspend or terminate the User's account without prior notice and without liability for any damages in the following cases:

  • Use of the Service for improper purposes, unlawful activities, or to facilitate wrongful conduct
  • Infringement of intellectual property rights, including unauthorized reproduction, distribution, or publication of content
  • Sharing of accounts or allowing others to use the User's account
  • Falsification of information, fraud, or any dishonest act to obtain benefits from the Service
  • Causing damage or distress to the Company, instructors, other Users, or any other person
  • Any action that threatens the security of computer systems or networks, such as spreading viruses, sending spam, intercepting data, or attempting unauthorized access to systems
  • Inappropriate, aggressive, defamatory, threatening, or harassing behavior toward others

Retention of Computer Traffic Data

The Company reserves the right to retain computer traffic data for not less than ninety days from the date such data enters the computer system, in accordance with the Computer Crime Act (No. 2) B.E. 2560 (2017).

Intellectual Property and Copyright

Course content, text, images, audio, video, graphics, trademarks, and all other intellectual property rights appearing in the Company's Service (the "Intellectual Property") are property protected by copyright law and related intellectual property laws, and are owned by the Company, instructors, or third parties who are the lawful rights holders.

The provision of this Service does not constitute a transfer of rights or license to use the Company's or any third party's Intellectual Property for commercial or business purposes. Users are granted access to use content solely for personal learning purposes.

Users agree not to perform any of the following actions unless explicitly authorized in writing by the Company and the copyright owner:

  • Reproduce, copy, modify, edit, compile, or create derivative works from the content or Intellectual Property
  • Publicly distribute, publish, sell, distribute, or rent the content or Intellectual Property
  • Upload, transfer, or transmit content to any other person or platform
  • Record, capture, screenshot, or create any reproduction of video or audio content through screen recording or similar technologies
  • Use content for commercial purposes, commercial training, or any business benefit
  • Reverse engineer, decode, or attempt to access the source code of the Company's systems or software

Users agree not to use automated devices, bots, tools, software, or any programs to unlawfully download, copy, or extract data from the Service, including the release of viruses, malware, spyware, or any harmful code that may damage or control the Company's systems.

Users agree not to send spam, commercial advertisements, chain messages, or repetitive messages to other users or through the Company's systems, including any actions that create a burden on or interfere with the operation of the Company's servers or systems.

Violation of the provisions in this section may result in immediate suspension or termination of the User's account, and the User may be held liable under copyright law and related legislation.

Membership Renewal and Service Expiration

The duration of access to the Service or individual courses depends on the type of membership, whether monthly subscription or pay-per-course, as specified for each course. Upon expiration of the designated period, Users will no longer be able to access the content or use that Service.

The Company may contact Users to provide reminders when the Service is approaching expiration. However, Users are responsible for monitoring and renewing their Service access independently. If the Company is unable to contact the User, or if the User is unable to renew the Service before the expiration date, the Company reserves the right not to be liable for any loss or damage that may occur or arise to the User as a result of the Service expiration.

For monthly subscription members, Users may cancel automatic renewal according to the procedures specified by the Company on the website. Cancellation will take effect in the next renewal cycle.

Membership Cancellation and Account Closure

User accounts shall remain active for the duration of membership or until the User cancels their membership, except in cases where the User's account has been inactive for more than 6 (six) consecutive years, in which case the Company reserves the right to automatically close the User's account, with or without prior notice at the Company's discretion.

The Company may immediately close and suspend the User's account and access to the Service if the User violates any provision of these Terms and Conditions, particularly those specified under "Account Suspension or Termination" and "Intellectual Property and Copyright."

When a User cancels their membership or when the User's account is closed, the Company will retain the User's data for a period of 2 (two) years from the year following the membership cancellation or account closure, as applicable, for the purpose of investigating fraud, copyright infringement, and compliance with relevant laws, in accordance with the Company's Privacy Policy.

Amendments to Terms and Conditions

The Company reserves the right to change, modify, update, suspend, or terminate these Terms and Conditions, as well as any content on the website or the Service in whole or in part, at any time as appropriate. Such changes may result from new technology developments, service improvements, or changes in applicable laws.

Users should review these Terms and Conditions periodically when accessing the Service. If material changes are made, the Company will notify Users through the website, email, or other appropriate communication channels, and will seek User consent where legally required.

Continued use of the Service following any amendments to these Terms and Conditions shall constitute acceptance and agreement to be bound by such amended Terms and Conditions.

Governing Law and Dispute Resolution

These Terms and Conditions, including any disputes arising from or relating to these Terms, shall be governed by and construed in accordance with the laws of Thailand, without regard to conflict of law principles.

Both parties agree that the Thai courts shall have exclusive jurisdiction to adjudicate any disputes arising from or relating to these Terms and Conditions.

If any provision of these Terms and Conditions conflicts with or is contrary to applicable law, or is deemed invalid, unenforceable, voidable, or void for any reason, such provision alone shall be invalid or unenforceable, but shall not affect the remaining provisions of these Terms and Conditions, which shall remain in full force and effect.

Communication

The Company will communicate with Users, provide information, and share updates primarily through online channels, including the website, email, or other communication channels registered by the User with the Company.
